Terms of Service

1. Who we are

Seamdex is operated by [Company Legal Name], [Company Address], [Country] (referred to as Seamdex, we or us). These terms are an agreement between [Company Legal Name] and the organization that creates a Seamdex account (you). By creating an account or using the service you accept these terms.

2. The service

Seamdex is a software platform for fashion and textile brands. It turns product and purchase order data into Digital Product Passports with public passport pages and QR codes, printable care labels and QR sheets, and exportable EPR data, together with supporting tools such as supplier data collection, partner access, repair request handling and scan analytics.

3. Accounts and access

• You are responsible for the accuracy of your account details and for keeping credentials confidential.
• You control who joins your organization and which roles they hold, including supplier portal logins and partner access you grant to third parties such as factories and economic operators. Access you grant is your responsibility.
• You must be authorized to act for the organization you register.

4. Subscription and fees

• The subscription is 300 EUR per month or 3,000 EUR per year per organization, at your choice. Prices exclude VAT where applicable.
• The subscription includes 600 published product passports over the lifetime of your organization. Each further passport costs up to 8 EUR per year (7 EUR per year from passport 651), charged at your renewal. The count is the total number of passports ever generated; unpublishing does not reduce it.
• There are no onboarding, setup, per scan, per user or support fees, and no features are gated behind a bigger plan.
• Payment is set up during sign-up: by card through Stripe Checkout, or by invoiced bank transfer with the first invoice issued at sign-up and payable within its stated term. Card payments and invoices are processed by Stripe; Seamdex never stores card details.
• Invoices are payable within the term stated on the invoice.

5. Your content and data

• You own the data you and your invited suppliers and partners enter: product records, supply chain information, certificates, images and files.
• You grant us the right to host, process and display that data as needed to provide the service, including serving your published passport pages to the public.
• You are responsible for the content of your passports. Seamdex calculates figures from the data you provide and gives your products a public page, but it does not verify your claims and does not provide legal or regulatory advice. Compliance with labelling, product safety and environmental rules remains your responsibility.
• GINETEX care symbols. The GINETEX care labelling symbols are protected marks. By using Seamdex to generate care labels or passport pages that display these symbols, you confirm that your organization holds the necessary rights or licenses to use and display them. Seamdex renders the symbols on your behalf and does not grant you any license to them.

6. Published passports

• Publishing freezes an immutable snapshot of the product record. Public passport pages serve that snapshot until you publish a new version.
• QR codes reference stable identifiers so printed codes keep resolving across re publishes.
• If you connect a custom domain, you are responsible for the domain and its DNS configuration. Removing the domain stops passports from being served on it; QR codes printed with the platform address keep working while your subscription is active.
• If your subscription ends, public passport pages may stop being served. Export your data before closing your account.

7. Acceptable use

You agree not to:

• use the service for unlawful, misleading or infringing content,
• probe, disrupt or overload the service or access data of other organizations,
• resell the service without our written agreement,
• use the repair reply or email features to send unsolicited bulk mail.

8. Third party services

Optional integrations connect to systems you control, such as the SPY ERP (using a read only token you supply) and your own SMTP server for outgoing repair replies. Your use of those systems is governed by their terms; you are responsible for having the right to connect them. The service itself runs on hosting and infrastructure providers listed in the Privacy Policy.

9. Availability and support

We work to keep the service available and to fix problems quickly, but the service is provided as is, without a guaranteed uptime level. Support is included in the subscription.

10. Liability

To the extent permitted by law, our total liability for claims arising out of the service in any twelve month period is limited to the subscription fees you paid for that period. We are not liable for indirect damages such as lost profits, or for regulatory consequences of the data you publish. Nothing in these terms limits liability that cannot be limited by law.

11. Termination

• You can stop using the service and close your account at any time; fees already invoiced for the current period remain payable.
• We may suspend or terminate accounts that materially breach these terms, after notice where practical.
• On termination you can request an export of your data within 30 days, after which we may delete it.

12. Changes

We may update these terms as the service evolves. Material changes are announced to account owners in advance. Continued use after a change takes effect means acceptance.

13. Governing law

These terms are governed by the laws of [Country], and disputes are subject to the courts of [City, Country], unless mandatory law says otherwise.
